Terms of Service

Important risk notice
ClockTrades is a journaling and review tool. It is not a broker, investment adviser, financial adviser, portfolio manager, or signal service. Nothing in ClockTrades constitutes financial, investment, legal, tax, or other professional advice. Trading financial markets is high-risk and can result in the loss of some or all of your capital.
1. Agreement to these Terms
By creating an account, accessing, or using ClockTrades (the “Service”), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Service.
2. Who may use the Service
You may use the Service only if you are at least 18 years old (or the age of majority in your jurisdiction), have the legal capacity to enter into a binding contract, and are not barred from using the Service under applicable law.
3. Your account
- You must provide accurate information when creating and maintaining your account.
- You are responsible for safeguarding your credentials and for all activity under your account.
- Notify us at hello@implimint.com if you suspect unauthorised use of your account.
4. What ClockTrades is — and what it is not
ClockTrades helps you build discipline around your own trading by letting you create trading plans, log trades, evaluate those trades against your plan’s rules, review performance on dashboards, complete weekly reviews and focus actions, and attach screenshots and notes. The Service is educational and behaviour-focused.
The Service does not:
- execute trades on your behalf or connect to any broker to place orders;
- provide investment, financial, tax, legal, or regulatory advice;
- offer personalised recommendations regarding any financial instrument, strategy, or allocation;
- guarantee any performance, outcome, profit, or reduction in loss; or
- constitute a signal service or a solicitation to buy or sell any financial instrument.
5. No financial advice — educational use only
All content, metrics, dashboards, statistics, deep analytic insights, compliance-coach messages, summaries, notifications, templates, and other output produced by the Service are provided for informational and educational purposes only and are generated from the data you enter.
6. Trading risk — acknowledgement
- Trading financial instruments is speculative, carries high risk, and may not be suitable for everyone.
- You may lose some or all of the capital you invest, and in leveraged products you may lose more than your initial deposit.
- Historical data, journaling statistics, win rates, and risk-reward metrics shown by the Service are not indicative of and do not guarantee any future result.
- You are solely responsible for all trading decisions you make and the consequences thereof.
7. Dashboard, insights, and compliance coach
The dashboard, deep analytic insights, and compliance coach (availability depends on your subscription tier) surface patterns and coaching-style messages derived from the trade data you have entered. These features are automated, may be inaccurate, incomplete, or out of date, and remain educational content only — not financial advice or a recommendation to take any specific trading action.
8. Subscriptions, billing, and payments
- Billing currency. Subscriptions are billed in South African Rand (ZAR) through Paystack. Any USD amounts shown in the Service are indicative only.
- Authorised charges. You authorise us and Paystack to charge your payment method for fees, taxes, and applicable charges.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel.
- Annual plans. Annual plans are typically offered at a discount equivalent to receiving two months free relative to the monthly price; the exact discount is shown at checkout.
- Price changes. We will give you reasonable advance notice of any price change that will affect you, and changes will apply at the start of your next billing period unless required sooner by law.
- Taxes. Prices may exclude applicable taxes and duties, which will be added where required by law.
9. Upgrades, downgrades, and cancellations
- Upgrades. Activated once payment is confirmed. Where applicable, we calculate a prorated refund of unused time on your previous plan.
- Downgrades. Scheduled for the end of your current billing period; not eligible for refunds.
- Cancellations. You may cancel at any time. You retain access to paid features until the end of the billing period you have already paid for.
- Refunds. Except for prorated refunds arising from upgrades or where required by applicable consumer law, subscription fees are non-refundable.
- Failed payments. We may suspend or downgrade access until payment is successful.
10. Your content
You retain ownership of the content you create — trading plans, trade entries, notes, mistakes, emotions, tags, weekly focus actions, screenshots, and attachments. You grant ClockTrades a limited, worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (to compute metrics and generate insights), display, and transmit your content solely to operate, provide, secure, and improve the Service.
11. Acceptable use
You agree not to:
- use the Service to violate any law, regulation, or third-party right;
- use the Service to provide, publish, or distribute investment advice, signals, or managed-account services to others;
- upload content that is unlawful, infringing, defamatory, obscene, malicious, or harmful;
- upload files containing malware or attempt to compromise the security of the Service;
- access the Service by automated means except as expressly permitted;
- reverse-engineer any part of the Service, except to the extent permitted by law;
- resell, sublicense, or commercially exploit the Service without our prior written consent.
12. Third-party services
The Service relies on carefully selected third-party providers for hosting, authentication, database, storage, and serverless functions; Paystack for payments; and, where you use Google sign-in, Google. Your use of those underlying services is subject to their own terms and privacy policies. A current list of the key providers we rely on is maintained in our Privacy Policy.
13. Intellectual property
The Service, including its software, design, branding, text, graphics, and all related intellectual-property rights, belongs to ClockTrades and its licensors. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
14. Changes to the Service
The Service will evolve over time. We may add, modify, or remove features and update the Service for security, legal, or operational reasons. We do not guarantee that any particular feature will continue to be available.
15. Termination and account deletion
You may stop using the Service at any time. Account deletion enters a 14-day pending window during which you can cancel. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we reasonably believe your use poses a risk to the Service or to other users.
16. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind. Clock Trades does not warrant that using the Service will result in profits, reduced losses, improved trading behaviour, or any particular outcome.
17. Limitation of liability
To the maximum extent permitted by law, ClockTrades will not be liable for any trading losses, lost profits, indirect, incidental, special, consequential, exemplary or punitive damages, or any loss or damage arising from your reliance on any output of the Service. Our aggregate liability is limited to the greater of (a) subscription fees you actually paid to us in the twelve months before the event giving rise to the claim, or (b) ZAR 500.
18. Indemnification
You agree to defend, indemnify, and hold harmless ClockTrades from any claims arising out of your use of the Service, your content, your trading decisions, or your violation of these Terms.
19. Governing law
These Terms are governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction to resolve any dispute, except that either party may seek injunctive relief to protect its intellectual-property rights.
20. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected in the “Last updated” date and, where appropriate, through notice in the Service or by email.
